These Terms and Conditions (“Terms”) govern your access to and use of the Yoopii mobile app, website, and all related services, features, and content (collectively, the “Platform”).
By accessing or using Yoopii, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Overview of Yoopii

Yoopii is a culture-first social commerce and entertainment platform that empowers creators, businesses, and users—particularly within the African and global diaspora communities—to share videos, sell products, host live streams, and engage through creative, cultural, and commercial content.

2. Eligibility

To use Yoopii, you must:

  • Be at least 13 years old (or the legal minimum age in your country).
  • Have the legal capacity to enter into this agreement.
  • Agree to comply with all applicable local, national, and international laws.

If you are using Yoopii on behalf of a business or organization, you confirm that you are authorized to bind that entity to these Terms.

3. Account Registration

You may need to create an account to access certain features.
You agree to:

  • Provide accurate, up-to-date information.
  • Keep your login credentials confidential.
  • Notify us immediately if you suspect unauthorized access to your account.
    We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. User Content

By posting, uploading, or sharing any content (videos, images, text, products, or audio) on Yoopii (“User Content”), you grant us a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, distribute, and promote your content within the Platform and across our marketing channels.

You are solely responsible for your content.
You agree not to post:

  • Content that is illegal, harmful, defamatory, hateful, or obscene.
  • Content that infringes on third-party intellectual property rights.
  • Misleading, fraudulent, or deceptive material.

We reserve the right to remove or restrict content that violates these Terms or our community guidelines.

5. Commerce and Payments

Yoopii enables users and vendors to buy and sell products through shoppable videos and other tools.
When engaging in transactions:

  • Sellers are responsible for fulfilling orders and complying with all applicable laws.
  • Buyers are responsible for reviewing product details and confirming purchases.
  • Yoopii may use third-party payment processors to facilitate payments.
    Yoopii is not a party to transactions between users and is not responsible for product quality, delivery, or disputes between buyers and sellers.

6. Intellectual Property

All trademarks, logos, designs, and other intellectual property appearing on Yoopii are owned by us or our licensors.
You may not copy, modify, distribute, or exploit any part of the Platform without prior written consent from Yoopii.

Your ownership rights in your User Content remain intact—you retain full rights to your creations while granting Yoopii permission to use them as described above.

7. Community and Conduct

You agree to use Yoopii responsibly and respectfully. You must not:

  • Harass, threaten, or impersonate others.
  • Engage in hate speech, nudity, or explicit sexual activity.
  • Use bots, scrapers, or unauthorized automation tools.
  • Attempt to hack, disable, or disrupt the Platform or other users’ experiences.

Violation of these rules may lead to suspension or permanent removal from the Platform.

8. Third-Party Links and Services

Yoopii may contain links or integrations with third-party services (e.g., payment gateways, APIs, or partner sites).
We are not responsible for the content, security, or privacy practices of third parties.

9. Disclaimer of Warranties

Yoopii is provided on an “as-is” and “as-available” basis.
We make no warranties, express or implied, regarding:

  • The reliability or availability of the Platform.
  • The accuracy of any content or information.
  • Any guarantee of commercial success or profit through use of the Platform.

Use Yoopii at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, Yoopii, its owners, affiliates, and partners shall not be liable for any indirect, incidental, or consequential damages arising from:

  • Your use or inability to use the Platform,
  • User-generated content,
  • Any transaction conducted via Yoopii, or
  • Unauthorized access to your data.

We reserve the right to suspend or terminate your access to Yoopii at any time, without notice, for conduct that we believe violates these Terms, applicable law, or harms the community.
